1. Agreement to Terms

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

6. Fees and Payment

Fees for our services will be specified in separate agreements or proposals. All fees are in U.S. Dollars unless otherwise specified.

6.2 Payment Terms

Payment terms will be specified in service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

6.3 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments, which you are responsible for paying.

7. Confidentiality

7.1 Confidential Information

Each party may have access to confidential information of the other party. "Confidential Information" includes all non-public information disclosed by one party to the other, including but not limited to technical data, business plans, financial information, and customer information.

• Maintain the confidentiality of the other party's Confidential Information
• Use Confidential Information only for purposes related to the Services
• Not disclose Confidential Information to third parties without prior written consent
• Protect Confidential Information with the same degree of care used for its own confidential information

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

IN NO EVENT SHALL BSB BUILDER INC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

8.3 Maximum Liability

Our total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to liability, or $1,000, whichever is greater.

You agree to defend, indemnify, and hold harmless BSB BUILDER INC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

10. Term and Termination

10.1 Term

These Terms remain in full force and effect while you use the Services. We reserve the right to deny access to the Services to anyone for any reason at any time.
